- IT Park in Uzbekistan: Legal Status and Objectives of Establishment
On July 24, 2019, the first IT Park in Uzbekistan was opened in Tashkent. The IT Park was established at the initiative of Shavkat Mirziyoyev following his visit to India in 2018. The objective was to develop the IT sector, support startups, and foster cooperation with Indian IT companies based on their experience in software development and startup acceleration.
The IT Park, or the Technology Park of Software Products and Information Technologies (hereinafter — the “Technopark”), is an organizational and legal entity operating on the principle of extraterritoriality within the territory of the Republic of Uzbekistan, with Technopark residents located throughout the country in order to create the most favorable conditions for the development of information technology production.
The main activities of the Technopark include:
— creating favorable conditions for the development and production of competitive IT products and services and their promotion in domestic and international markets;
— supporting startup projects, including through venture financing, and assisting small IT enterprises in the commercialization of innovative developments;
— facilitating residents in attracting domestic and foreign investors for joint project implementation;
— developing cooperation between scientific, educational, and industrial organizations for the creation of high-tech products and services;
— organizing training for the population and youth in order to form a modern class of highly qualified specialists in the field of information technologies.
The management of the Technopark’s activities is carried out by the Technopark Directorate (hereinafter — the “Directorate”), established in the form of a limited liability company, whose founder is the Ministry for Development of Information Technologies and Communications of the Republic of Uzbekistan.
- Residency in IT Park: Requirements and Procedure for Obtaining Status
Residents of the Technopark are recognized as legal entities, including companies and IT training centers, registered in the Technopark in accordance with the established procedure and included in the Unified Register of Technopark Residents. Currently, the Unified Register includes 3,627 legal entities.
The Technopark provides its residents with 24-hour secured office premises starting from 15 sq. m. at a subsidized rental rate, i.e., below market price. The premises are equipped with high-speed internet and an uninterrupted power supply system.
To obtain resident status, legal entities must meet the requirements established by the Regulation on the Procedure for Organizing the Activities of the Technology Park of Software Products and Information Technologies (Annex to Resolution of the Cabinet of Ministers No. 589), namely:
- be registered as a legal entity in the territory of the Republic of Uzbekistan;
- carry out activities предусмотренные in the List set out in Annex No. 2 to the above-mentioned Regulation (hereinafter — the “List”);
- have an economically justified business plan. The business plan must include a description of specific measures for implementing one or more activities provided in the List, information on the types and volumes of services to be provided, justification of the project’s necessity, its monetization model, and projected results.
To register as a Technopark resident, the applicant submits an application via the web portal together with the business plan. The submitted application and documents are forwarded by the Directorate to the Expert Council for examination of the business plan for compliance with the activity directions specified in the List, as well as for assessment of the feasibility and significance of the project for the development of the IT sector. Following this review, the Directorate makes a decision on registering the applicant as a Technopark resident or refusing registration.
Upon obtaining resident status, the company assumes the following obligations:
- to carry out exclusively the activities specified in the approved business plan in accordance with the List;
- to comply with the Agreement on the Conditions of Resident Activity concluded with the Directorate;
- to provide information on its activities in the form and within the deadlines established by the Directorate, including copies of statistical and tax reports, via the web portal;
- to transfer monthly contributions to the Directorate’s deposit account no later than the 20th day of the month following the reporting period, in the amounts established by legislative acts;
- to conduct an annual mandatory audit of financial and economic activities and a special-purpose audit by July 1 of the year following the reporting year, and to submit via the web portal one copy of the audit report and audit opinion to the Directorate.
Residents have the following rights:
- to pay dividends and salaries in foreign currency within the limits of proceeds from the export of goods (works, services) by transferring funds to international payment cards;
- to hire foreign specialists without obtaining confirmation of the right to carry out labor activities in the territory of the Republic of Uzbekistan;
- to operate using a virtual office;
to export works and services for foreign currency through online stores on the global Internet without the need for an export contract.
- Benefits for IT Park Residents
The following benefits are granted to Technopark residents:
- exemption until January 1, 2028, from all types of taxes and mandatory contributions to state target funds, as well as from social tax;
- exemption until January 1, 2028, from customs payments (except customs fees) for equipment, components, parts, and software imported for their own needs that are not produced in the Republic of Uzbekistan, according to approved lists;
- export of goods, works, and services for foreign currency through online stores without the need for an export contract;
- hiring foreign specialists without obtaining confirmation of the right to carry out labor activities in the territory of the Republic of Uzbekistan;
- payment of dividends and salaries to foreign founders and specialists in foreign currency from export proceeds of goods, works, and services, with transfers to international payment cards.
In addition, income in the form of wages received by employees under employment contracts with Technopark residents is subject to personal income tax at a fixed rate of 7.5%. Until January 1, 2025, dividends received by foreign founders (participants) (non-residents of Uzbekistan) of Technopark residents were taxed at a preferential rate of 5%, similar to the rate applicable to residents of the country.
Grounds for Revocation of Resident Status:
- non-compliance of the resident’s actual activities with the activities specified in the List;
- failure to fulfill obligations under the Resident Activity Agreement concluded with the Directorate;
- voluntary renunciation of resident status;
- failure to submit, within the established deadlines, information on activities, tax and statistical reports, business plan, audit report, and audit opinion, or submission of false information therein;
- failure to make the required contributions to the Directorate’s demand deposit account;
- other grounds provided for by legislation.
- IT-visa and Conditions for Foreign Specialists and Investors
For foreign specialists, investors, and founders of companies that are residents of technological parks in the Republic of Uzbekistan, a special visa regime — the IT-visa — is provided.
The IT-visa is issued for a period of up to 3 years and may be extended without the need to leave the Republic of Uzbekistan. The visa is multiple-entry, allowing its holder to freely enter and exit the country an unlimited number of times during its entire validity period.
The multiple-entry IT-visa is issued based on the recommendation of the Directorate to the following categories of persons:
- foreign investors who provide financing to a legal entity operating in the field of information technology under a contract in the amount of at least USD 10,000 or its equivalent;
- founders (participants) of Technopark residents;
- IT specialists working for an IT Park resident company in an IT specialty and confirming income from IT activities of at least USD 30,000 or its equivalent over the last 12 months at the time of application.
Key advantages of the IT-visa:
- the right to carry out employment activities in the field of information technologies without obtaining a separate work permit;
- the possibility of visa extension without leaving the country;
- the possibility of purchasing real estate without minimum property value requirements;
- access to medical and educational services under conditions equal to those of citizens of the Republic of Uzbekistan.
Under the general procedure, foreign citizens may purchase real estate in the Republic of Uzbekistan without obtaining a residence permit, provided that the investment thresholds established by law are met. The minimum value of the property depends on the region and ranges from USD 100,000 to USD 300,000, and for certain new properties — from USD 70,000.
However, for foreign citizens holding an IT Visa, more favorable conditions apply. When purchasing real estate, minimum value requirements do not apply, and obtaining a residence permit in the Republic of Uzbekistan is not required.
- Digital Center “Enterprise Uzbekistan” and Its Legal Regime
The International Center for Digital Technologies (International Digital Technology Center — “ENTERPRISE UZBEKISTAN”, hereinafter — the “Center”) has been launched on the basis of the Technopark as a special territory with favorable conditions for the production of products and the provision of services in the field of digital technologies.
Within the territory of “Enterprise Uzbekistan,” activities are permitted in several promising areas:
- development of software products, as well as provision of consulting and outstaffing services in the field of digital technologies;
- provision of remote outsourcing services, including business process outsourcing;
- conducting scientific research and development in the field of digital technologies;
- creation of video games and digital content for them;
- creation, placement, and promotion of digital content (e-books, educational courses, media content) or software solutions through online platforms;
- development and advancement of artificial intelligence technologies.
The uniqueness of the Center lies in the fact that the norms and principles of English law and the standards of leading international financial centers are applied within its territory. Commercial disputes arising between residents will be considered by an independent specialized court operating outside the judicial system of the Republic of Uzbekistan.
To organize the activities of the Center, a Directorate is established in the form of a joint-stock company, with IT Park Uzbekistan serving as its sole shareholder.
